Terms & Conditions of Service

These Terms & Conditions of Service govern your access to and use of geoTribes services, including the Quick Append Portal (quickappend.geotribes.com), API Portal (api.geotribes.com), Living Insights Portal (portal.geotribes.com), Segment Profiler (profiler.geotribes.com), geoTribes Explorer (explorer.geotribes.com), Postcode Profiler Tool, MCP Intelligence Portal and associated API services (geotribes-intelligence.app), ad-hoc analytical services, and general website usage (geotribes.com) (collectively, 'the Services'). By accessing or using any of these Services, you agree to be bound by these terms and our Privacy Policy.

Precedence of Service Agreements: If you or your employer have a current, signed service agreement with RDA or one of its authorised partners governing your access to any of the Services (whether on a paid, trial, or other basis), that specific agreement shall take precedence over these Terms in all areas where the agreements conflict. These Terms apply as default conditions for all Services where no specific service agreement exists or where a service agreement does not address particular aspects of service provision.

User Registration and Account Security

Access to our Services requires user registration. As a registered user, you accept full responsibility for maintaining the security of your account credentials, including usernames, passwords, and API keys. You must immediately notify us of any unauthorised access to your account or suspected security breaches.

You are responsible for all activities that occur under your account and warrant that any data you upload or submit through our Services ('User Data') complies with applicable laws and does not infringe thirdparty intellectual property rights. User Data must not contain malicious code, spam, illegal content, or material that violates privacy rights or incites violence. For geoTribes Explorer, you retain intellectual property rights to location data you upload, which we may use solely to provide mapping and analysis services. For general website use, any content you submit (reviews, comments, posts) grants us a worldwide, royalty-free, perpetual licence to use, reproduce, and distribute such content for promotional and operational purposes.

We reserve the right to refuse service, remove User Data, or terminate accounts that violate these terms or applicable laws, without providing refunds for previously paid services. We monitor service usage through access logs and usage pattern analysis to ensure compliance and improve operations. You must not use automated tools (robots, spiders, scrapers) to access our Services, impose unreasonable loads on our infrastructure, or use our Services primarily for batch geocoding or location search purposes.

When accessing the Services, you must not provide unnecessary personal identifiers such as full names, account numbers, health information, tax file numbers, or driver's licence numbers unless essential for service delivery.

Available Services and Content Types

We offer eight distinct types of content and services:

Quick Append Portal Services provide three types of consumer intelligence content:

  • Database Profiling Reports provide statistical analysis showing which consumer attributes are more likely to apply to records in your data files compared to the general population, helping you understand your customer base's characteristics and behaviours.
  • Data Appending Services enhance your uploaded data files by adding relevant demographic, psychographic, and behavioural data fields from our proprietary databases, enriching your customer understanding and marketing capabilities.
  • Target Area Lists deliver ranked lists of postal areas based on the concentration of selected geoTribes segments, allowing you to identify geographic areas with the highest potential for your target customers.

API Appending Services offer real-time data enhancement where individual records submitted through our API receive immediate appending of additional data fields, enabling dynamic customer profiling and segmentation.

Living Insights Portal Services provide enterprise-scale data enhancement through batch processing via web and SFTP interfaces, supporting large-scale customer segmentation and customer profiling for enterprise clients requiring high-volume data processing capabilities.

Segment Profiler Services provide detailed profiling information and statistical insights about our consumer segmentation schemes, including geoTribes and geoSmart segments, to help you understand segment characteristics, select appropriate target audiences, and develop effective communications strategies.

geoTribes Explorer Services provide interactive mapping and visualisation tools that allow you to explore consumer segmentation data geographically, upload your own location data for analysis, and generate customised reports combining demographic insights with spatial analysis for commercial evaluation and personal use.

Postcode Profiler Tool provides geoTribes segment composition for postal areas in Australia, New Zealand, Canada, USA, and Great Britain, helping you understand the characteristics and consumer behaviours of specific geographic areas for market analysis and targeting purposes.

Ad-hoc Analytical Services provide customised data analysis, modeling, reporting, and consulting services tailored to your specific business requirements, including market research, customer segmentation analysis, retail network analytics, and strategic insights based on our consumer intelligence data.

MCP Intelligence Services provide access to geoTribes segmentation data and human insights through Model Context Protocol integration and associated API services, enabling AI language models and applications to incorporate our consumer intelligence into analysis, recommendations, and decisionmaking processes.

Payment Terms and Service Access

All purchases require advance payment through our secure PayPal portal or approved trading accounts. For Australian users, GST applies to all transactions. International users are GST-exempt.

Quick Append Portal operates on a pay-per-use basis where content is charged prior to download. Successfully purchased content remains available for download for 14 days, after which it is permanently deleted from our servers.

API Portal offers both pre-paid subscription packages and cost-per-record pricing. Subscription packages include fair-use limits set at 1.3 times the allocated monthly usage. If you exceed these limits, we may require package upgrades or implement usage restrictions to align with your current subscription level.

Living Insights Portal operates on enterprise-scale subscription packages with pricing based on data volume, processing requirements, and interface usage (web or SFTP). Packages include fair-use limits for batch processing capacity and data transfer volumes. Excessive usage may result in additional charges, required upgrades, or temporary processing limitations.

MCP Intelligence Portal and associated API services operates on subscription-based access with usage limits determined by query volume, data complexity, and computational resources consumed. Fair-use policies apply, and excessive usage may result in rate limiting, required upgrades, or temporary service suspension until the next billing period.

geoTribes Explorer is available for personal use and commercial evaluation purposes at no charge, with access periods determined by us or our authorised partners. Commercial use beyond evaluation requires separate authorisation and appropriate licensing agreements.

Postcode Profiler Tool is available for personal use and commercial evaluation purposes at no charge, providing accessible demographic insights for postal areas across Australia, New Zealand, Canada, USA, and Great Britain.

Ad-hoc Analytical Services are provided on a project basis with customised pricing based on scope, complexity, and deliverables. Unless otherwise agreed in writing, 50% of fees plus disbursements are required on project commissioning, with the balance due on completion. All fees are exclusive of GST, which applies for Australian clients. Fees may be revised if project scope changes are requested or agreed upon.

We reserve the right to modify pricing with reasonable advance notice, though prices remain fixed for services already commenced. All sales are final with no refunds available.

Content Licensing and Usage Restrictions

Upon purchase, you receive specific usage rights that vary by service type, designed to protect our intellectual property while enabling legitimate business use

API Services and Database Profiling grant you perpetual, non-exclusive licences allowing you to incorporate the content into client services, including verbal briefings, written reports, databases, and analytical tools.

Living Insights Portal Services grant you perpetual, non-exclusive licences allowing you to incorporate enhanced data into client services, including customer databases, segmentation models, marketing campaigns, and analytical reports. Data processed through Living Insights is subject to the same usage rights as other data appending services.

Database Appending allows you to supply appended content to individual clients only when the original database was either compiled by you for that client or previously supplied to you by that client specifically for appending purposes. This content cannot be shared with multiple clients, used for further database enhancement through matching or machine learning, or utilised to create audience products for online media distribution.

Target Area Lists are licensed for single-campaign use only. While you may share these lists with clients, agencies, and media platforms for campaign execution, the lists cannot be stored or reused across multiple campaigns.

Segment Profiler Services grant you rights to extract and incorporate profiling data into your reports, presentations, and other professional publications. When using Segment Profiler data, you must include the copyright attribution provided on each page: "Segment Profiler © RDA Research, [YEAR]. Segment Schemes © RDA Research, [YEAR]. Profiling Data Source: [AS SPECIFIED ON WEBSITE]." However, this data cannot be incorporated into predictive models, mapping applications, database scoring systems, or other analytical processing tools, as these applications require separate commercial licensing.

geoTribes Explorer Services provide a limited, non-exclusive, non-transferable licence for personal use and commercial evaluation purposes only. You may upload your own location data for analysis, but uploaded data remains your intellectual property. Commercial use beyond evaluation requires separate written authorisation and appropriate licensing. You cannot extract network locations or detailed geographic data (SA1, Mesh Block level, etc.) in bulk for external use, use the service primarily for geocoding/location search in batch mode, or operate under concurrent/floating licence arrangements without written agreement. The service incorporates Google Maps API functionality, requiring compliance with Google's applicable terms of service.

Postcode Profiler Tool provides a limited licence for personal use and commercial evaluation purposes only. You may extract postcode profile data for incorporation into reports and presentations with attribution "Materials © RDA Research, [YEAR]." However, this data cannot be incorporated into predictive models, mapping applications, database scoring systems, or other analytical processing tools, as these applications require separate commercial licensing.

Ad-hoc Analytical Services provide you with a non-exclusive, non-transferable licence to use project deliverables (data, analyses, reports, and materials) unless otherwise specified in the project proposal. We retain ownership of all intellectual property in methodologies, software, processes, and enhancements we create. You retain ownership of materials you provide to us. You warrant that materials you supply to us do not infringe third-party rights and that you have authority to provide them for our use. We warrant that we are entitled to provide the services and deliverables, and will comply with relevant privacy legislation. You are responsible for determining that our services are fit for your intended purposes.

MCP Intelligence Services and associated API services provide subscription-duration licences permitting you to use derived insights and analysis in your business operations, client reports, and recommendations. You may supply insights to clients provided you include "Analysis powered by geoTribes Intelligence&qout; attribution and substantially transform the data through your professional analysis. You cannot redistribute raw geoTribes data or use our content to develop competing segmentation products.

All content is protected by intellectual property laws. You are prohibited from reverse engineering our methodologies, incorporating our content into published market statistics, or using our data in ways that compete with or undermine our business interests.

Sample Data and Evaluation Services

We may provide access to content on a complimentary basis for demonstration, evaluation, or proof-ofconcept purposes. Such sample data is strictly confidential and cannot be commercialised, distributed to third parties, or used for any purpose beyond internal evaluation without our express written permission.

Intellectual Property Rights

Our Services, content, methodologies, and the geoTribes brand remain our exclusive property, protected by copyright, trademark, and other intellectual property laws. This includes our registered rights to GEOTRIBES and GEOSMART trademarks. This agreement grants you only the specific usage rights explicitly described herein and does not transfer any ownership interests.

The geoTribes name, logo, and associated trademarks cannot be used without our prior written consent and must comply with our brand guidelines when authorised. If you believe your intellectual property rights have been violated through our Services, please contact us immediately at support@geotribes.com.

Privacy Protection and Data Security

Both parties must comply with the Privacy Act 1988 (Cth) and all applicable privacy regulations. We are committed to protecting personal information in accordance with Australian privacy laws, our Privacy Policy, and the Australian Privacy Principles (APPs). When you submit personal data through our Services, we undertake to use it solely for service delivery, restrict access to authorised personnel, and maintain data within Australia unless you specifically authorise international transfer.

Your Privacy Obligations: You warrant that any personal information you provide has been collected lawfully in accordance with the Privacy Act 1988 (Cth) and that you have obtained all necessary consents, authorisations, and made all required disclosures to enable us to collect, use, store, and process the personal information for the purposes of providing our Services. You must not provide unnecessary personal identifiers such as full names, account numbers, health information, tax file numbers, or driver's licence numbers unless essential for service delivery.

Data Security and Breach Notification: We implement industry-standard security measures but acknowledge that no system is entirely immune from unauthorised access. In the event of an eligible data breach (as defined under the Privacy Act 1988), we will:

  • Notify you as soon as practicable after becoming aware of the breach
  • Provide a detailed investigation report within 48 hours
  • Assist you in meeting any notification obligations under the Privacy Act, including notifications to the Office of the Australian Information Commissioner (OAIC) and affected individuals if required
  • Cooperate in determining whether the breach constitutes a Notifiable Data Breach under the Privacy Act

Your Breach Notification Obligations: You must promptly notify us if you become aware of any actual or suspected privacy breach involving personal information we have processed on your behalf, and assist us in investigating and responding to any such breach in accordance with Privacy Act requirements.

Data Retention: For geoTribes Explorer and general website usage, uploaded data and generated reports may be retained for up to one year after deletion, including in system backups, in accordance with our Privacy Policy and applicable data retention obligations under the Privacy Act.

Confidentiality

Both parties will treat as confidential any information received in connection with our Services, including business, technical, marketing, and client information. Neither party will disclose confidential information to third parties without written permission. Both parties will comply with reasonable instructions regarding handling of confidential information, including return or destruction upon request. Confidentiality obligations survive completion of Services.

Service Availability and Modifications

We strive to maintain reliable service availability but do not guarantee uninterrupted access or error-free operation. We may modify, suspend, or discontinue any aspect of our Services at any time, including the introduction of new features that may be subject to additional charges.

We reserve the right to update these terms periodically. Significant changes will be communicated with reasonable advance notice, and your continued use of our Services constitutes acceptance of any modifications.

Limitation of Liability and Disclaimers

Our Services are provided "as is" without warranties of any kind, whether express or implied, including merchantability, fitness for particular purposes, or non-infringement. We make no guarantees regarding data accuracy, service availability, or fitness for your specific requirements.

For portal services and subscriptions: Our liability for any claims relating to these Services is limited to the amount you paid us in the twelve months preceding the incident giving rise to the claim.

For ad-hoc analytical services: Our aggregate liability is limited to the fees paid for the specific project component giving rise to the liability.

For all services: We are not liable for indirect, consequential, incidental, or punitive damages, regardless of the legal theory underlying any claim. This includes loss of business, revenue, profits, data, or other economic advantages. We are not responsible for unauthorised access to or alteration of your data, though we implement reasonable security precautions.

These limitations apply to the fullest extent permitted by law, subject only to statutory provisions that cannot be excluded under Australian Consumer Law or other applicable legislation.

Termination and Survival

Either party may terminate this agreement at any time. We may immediately suspend or terminate your access for violations of these terms, non-payment, or business reasons. Upon termination, your right to use our Services ceases immediately, though provisions relating to intellectual property, confidentiality, indemnification, and liability limitations survive indefinitely.

Dispute Resolution and Governing Law

These terms are governed by New South Wales law, and any disputes must be resolved through NSW courts. Before initiating legal proceedings, parties must attempt resolution through good-faith negotiation. If negotiation fails within thirty days, we may agree to submit disputes to independent expert adjudication, with the expert to be mutually selected within one month of invoking this clause.

For ad-hoc analytical services, we may suspend work and remain entitled to payment for completed work if you fail to make required payments or breach your obligations to us, without prejudice to our other rights. We are not liable for inability to meet obligations due to circumstances beyond our reasonable control (force majeure).

General Provisions

Modern Slavery Compliance: Both parties warrant that they do not engage in modern slavery practices and will comply with all applicable modern slavery legislation, including the Modern Slavery Act 2018 (Cth) where applicable. Each party represents that their operations and supply chains are free from forced labour, debt bondage, human trafficking, child labour, and other forms of modern slavery. We are committed to conducting business ethically and may request information about your modern slavery compliance practices where required for our reporting obligations.

Ethical Business Conduct: We are committed to conducting business ethically and with integrity in all our operations. This includes maintaining high standards of corporate responsibility, transparency in our business practices, fair dealing with clients and suppliers, and compliance with all applicable laws and industry standards. We expect our clients and partners to share similar ethical standards in their business conduct.

Third-Party Websites: Our general website may contain links to third-party websites, which are provided for reference only. We do not control or endorse such websites and are not responsible for their content or your use of them.

You agree to indemnify and hold us harmless from all claims, damages, and expenses arising from your use of our Services or violations of these terms. You represent that your use complies with all applicable laws and regulations and will not infringe third-party rights.

This agreement constitutes the complete understanding between the parties and can only be modified through written amendments signed by our authorised representatives or through updated terms posted on our website.
